1. Definitions

In these Terms and Conditions, the following definitions apply:

  • "Service" refers to all AI integration services, consulting, analysis, and implementation work provided by Morphiq.
  • "User" or "Client" refers to any individual or organization that engages with our services.
  • "We", "Us", or "Our" refers to Morphiq and its authorized representatives.
  • "Agreement" means these Terms and Conditions together with any service-specific agreements or proposals.
  • "Content" refers to all materials, data, documentation, and intellectual property created or provided through our services.

2. Acceptance of Terms

By accessing our website, engaging our services, or entering into any service agreement with Morphiq, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree with any part of these terms, you should not use our services or website.

3. Service Description

Morphiq provides professional AI integration services including but not limited to:

  • AI Process Analysis and workflow evaluation
  • Sentiment Analysis Systems development and deployment
  • AI Transformation Programs and comprehensive implementations
  • Custom machine learning model development
  • Technical consulting and advisory services
  • Training and knowledge transfer programs

Specific service details, deliverables, timelines, and pricing are outlined in individual service agreements or proposals. These Terms and Conditions apply to all services unless specifically modified in writing by both parties.

4. User Responsibilities

4.1 General Conduct

When using our services, you agree to:

  • Provide accurate and complete information during engagement
  • Cooperate in good faith to facilitate service delivery
  • Maintain confidentiality of sensitive project information
  • Comply with all applicable Malaysian laws and regulations
  • Use our services only for lawful business purposes

4.2 Prohibited Activities

You agree not to:

  • Use our services for any illegal or unauthorized purpose
  • Attempt to reverse engineer or copy our proprietary methodologies
  • Share access credentials or service deliverables with unauthorized parties
  • Interfere with or disrupt our services or systems
  • Misrepresent your identity or affiliation with any person or entity
  • Violate intellectual property rights of Morphiq or third parties

5. Intellectual Property Rights

5.1 Our Intellectual Property

All methodologies, frameworks, tools, documentation templates, and general knowledge developed by Morphiq remain our exclusive intellectual property. This includes our analytical approaches, best practices, and proprietary techniques.

5.2 Client Intellectual Property

You retain ownership of all data, business information, and pre-existing intellectual property you provide to us. Custom AI models developed specifically for your use cases become your property upon full payment, though we retain the right to use general learnings and methodologies.

5.3 License Grant

Upon full payment for services, we grant you a non-exclusive, non-transferable license to use deliverables created specifically for your organization. This license is limited to internal business use and does not permit resale, redistribution, or sublicensing of our work.

6. Payment Terms

6.1 Pricing and Fees

Service fees are specified in individual service agreements or proposals. All prices are quoted in Malaysian Ringgit (RM) unless otherwise stated. Pricing is subject to change with 30 days notice for ongoing services.

6.2 Payment Schedule

Unless otherwise agreed, payment terms are as follows:

  • AI Process Analysis: 100% upfront payment
  • Sentiment Analysis Systems: 50% upfront, 50% upon deployment
  • AI Transformation Program: 30% upfront, milestone-based payments thereafter

6.3 Late Payment

Invoices are due within 14 days of issuance. Late payments may incur interest charges of 2% per month or the maximum rate permitted by Malaysian law, whichever is lower. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days.

6.4 Refund Policy

Refunds are evaluated on a case-by-case basis. For analysis services, refunds may be provided if deliverables do not meet agreed specifications. For implementation services, refunds are prorated based on work completed. Requests must be made in writing within 14 days of service completion.

7. Service-Specific Terms

7.1 AI Process Analysis

Analysis deliverables include workflow documentation, bottleneck identification, AI opportunity assessment, and implementation recommendations. Analysis is based on information provided by the client and observations during the engagement period. Recommendations represent professional opinion, not guarantees of specific outcomes.

7.2 Sentiment Analysis Systems

System performance depends on data quality and quantity provided for training. We provide accuracy metrics based on validation testing, but real-world performance may vary. Clients are responsible for ongoing data provision and system monitoring after deployment.

7.3 AI Transformation Program

Program timelines are estimates based on typical complexity. Actual duration may vary based on client data readiness, stakeholder availability, and scope changes. Milestone completion requires client sign-off on deliverables.

8. Disclaimers and Limitations

8.1 Service Disclaimer

Our services are provided on an "as is" basis. While we strive for excellence, we do not guarantee specific business outcomes or results. AI system performance depends on numerous factors including data quality, implementation environment, and ongoing maintenance.

8.2 No Professional Advice

Our services provide technical expertise and implementation support but do not constitute legal, financial, or other professional advice. Clients should consult appropriate professionals for regulatory compliance and business strategy decisions.

8.3 Limitation of Liability

To the maximum extent permitted by Malaysian law, our total liability for any claims arising from our services shall not exceed the fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or data loss.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business strategies, technical details, data, and any information marked as confidential. Confidentiality obligations survive termination of services.

Exceptions to confidentiality include information that is publicly available, independently developed, or required to be disclosed by law. We may use de-identified case studies and general learnings from engagements for marketing purposes with client approval.

10. Termination

10.1 Termination by Client

Clients may terminate services with 30 days written notice. Upon termination, client is responsible for payment of all work completed to date plus any non-cancellable expenses incurred.

10.2 Termination by Morphiq

We may terminate services immediately if client breaches these terms, fails to make payment, or if continuation becomes impractical or illegal. We will provide written notice and explanation.

10.3 Effect of Termination

Upon termination, we will deliver all completed work and client data in usable format. Client retains license to use deliverables completed and paid for. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.

11. Dispute Resolution

11.1 Governing Law

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of Malaysian courts.

11.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good faith negotiation to resolve disputes. This includes direct discussion between representatives with authority to settle.

11.3 Mediation

If informal resolution fails, parties agree to participate in mediation through a mutually agreed mediator in Kuala Lumpur before pursuing litigation. Mediation costs are shared equally unless otherwise agreed.

12. General Provisions

12.1 Entire Agreement

These Terms and Conditions, together with any service-specific agreements and proposals, constitute the entire agreement between parties regarding our services and supersede all prior communications and understandings.

12.2 Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary while the remainder of these terms remains in full force and effect.

12.3 Waiver

Failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future. Waivers must be in writing and signed by authorized representatives.

12.4 Assignment

Clients may not assign or transfer their rights under these terms without our prior written consent. We may assign our rights and obligations to affiliates or in connection with a merger or sale of assets.

12.5 Force Majeure

Neither party is liable for delays or failures in performance due to circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, or technical failures. Affected party must provide prompt notice and use reasonable efforts to resume performance.

13. Changes to Terms

We may update these Terms and Conditions periodically to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via email to active clients or posted prominently on our website.

Continued use of our services after changes become effective constitutes acceptance of the updated terms. For ongoing service agreements, changes apply to work performed after the effective date unless mutually agreed otherwise in writing.
